1. Acceptance of Terms
By accessing or using the services provided by Outpace-AI, Inc. (“Outpace,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use our services.
2. Description of Services
Outpace provides AI-powered sales development services for B2B teams, including signal-based lead identification, AI-generated outbound email creation, automated follow-up sequences, pipeline tracking, and related features (collectively, the “Services”).
3. Your Responsibilities
Outbound Email Compliance
You are solely responsible for ensuring your use of the Services complies with all applicable laws, including the CAN-SPAM Act, GDPR (where applicable), and any other email or data privacy regulations in your jurisdiction. You agree to:
- Include accurate sender information in all outbound emails
- Honor opt-out and unsubscribe requests promptly
- Not use the Services to send deceptive, misleading, or fraudulent communications
- Ensure your target prospect lists are sourced in compliance with applicable law
Outpace provides tools to support compliance but ultimate responsibility rests with you.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at official@outpace-ai.com if you suspect unauthorized access.
Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to reverse engineer or circumvent any part of the Services
- Resell or sublicense access to the Services without our written consent
- Interfere with or disrupt the integrity or performance of the Services
4. Email Routing — Technical Architecture
The Services rely on a transparent email relay to deliver core product features (reply tracking, bounce detection, out-of-office filtering, AI follow-up suppression when you reply manually). By using the Services, you acknowledge and consent to the following email-routing behavior:
- Outbound — every email we send on your behalf via
gmail.users.messages.sendincludes aReply-Toheader pointing at our inbound relay (reply+<token>@reply.outpace-ai.com). Replies route through Outpace before reaching your mailbox. - Optional sub-domain MX delegation — customers may opt in to delegate
mail.<their-domain>via an MX record so prospect replies addressed back to the From header also land on our relay. Opt-in only; customers who do not configure this stay on the Reply-To redirection above. - Inbound — replies arriving at our relay are stored in Cloudflare R2 (encrypted at rest, 90-day lifecycle) and parsed into our database. We classify the message (reply / bounce / out-of-office / mirror echo) and surface the result in your AI Inbox.
- Mirror — to keep your Gmail conversation continuous, we send a mirror copy of each prospect reply to your primary Gmail inbox via Resend, with
FromandReply-Torewritten to our domain. When you click Reply on a mirror, Gmail routes the message back to our relay so we can forward your response to the original prospect viagmail.send— keeping the thread in sync without ever needing Gmail read access. - Limited Use of Google API Services Data— Outpace's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data, do not transfer it to third parties except as required to deliver requested features, do not use it for advertising, and do not allow humans to read it absent your affirmative consent or a narrow security/legal exception. You may revoke our access at any time via myaccount.google.com/permissions or through your Outpace settings page. See the Privacy Policy for the data deletion schedule that follows revocation.
5. Intellectual Property
You retain ownership of all content and data associated with your account. AI-generated emails and outputs produced through the Services are for your exclusive use. We do not share your data or generated content with other customers.
Outpace retains all rights to its technology, platform, algorithms, and underlying systems.
6. Payment and Billing
- All plans are billed monthly or annually in advance
- Payments are processed securely through our payment processor
- 14-day refund policy: If you are not satisfied within the first 14 days of your initial subscription, contact us at official@outpace-ai.com for a full refund. Refunds are not available after 14 days or on renewal charges.
- You may cancel your subscription at any time. Access continues through the end of your current billing period.
- We reserve the right to change pricing with 30 days' advance notice to existing subscribers.
7. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We make no guarantees regarding reply rates, meeting bookings, or sales outcomes resulting from use of the Services.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTPACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless Outpace and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law.
10. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms. Upon termination, your data will be deleted within 30 days unless retention is required by law.
You may terminate your account at any time by contacting official@outpace-ai.com.
11. Dispute Resolution
Informal Resolution
Before filing any formal dispute, you agree to contact us at official@outpace-ai.com and attempt to resolve the matter informally for at least 30 days.
Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place on an individual basis — class actions and class arbitrations are not permitted.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email at least 14 days in advance. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
